1. Acceptance of Terms

By accessing or using the SIBYL platform (“Service”), operated by Sibyl Technologies Inc., a Nevada corporation (“Company,” “we,” “us,” “our”), you (“User,” “you,” “your”) agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Service.

We reserve the right to modify these Terms at any time. We will provide notice of material changes via email or in-app notification at least 30 days before the changes take effect. Continued use of the Service after changes take effect constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service before the effective date.

By creating an account or using the Service, you consent to receive electronic communications from us, including account notifications, billing statements, policy updates, security alerts, and support responses. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing. You may withdraw this consent by deleting your account, but doing so will prevent you from using the Service.

2. Description of Service

SIBYL is an AI-powered research, verification, and analysis platform that uses multiple large language models (LLMs) to generate, cross-verify, and synthesize responses to user queries. The Service employs a multi-model verification pipeline in which:

• Multiple AI models independently generate responses to your query

• Your query is classified by domain (e.g., medical, legal, financial, technical, creative, general) to select optimal models

• Claims within responses are extracted and cross-verified through adversarial cross-examination protocols

• An arbitration process evaluates response quality, factual accuracy, and source reliability

• A synthesis model produces a final verified response incorporating the strongest elements, with confidence indicators

The Service is a research and analysis tool. It is not a substitute for professional advice of any kind.

2.1 Service Availability and Modifications

The Service is provided on an “as available” basis. We do not guarantee uninterrupted, timely, or error-free access to the Service. Without limiting the foregoing:

• The Service may be temporarily unavailable due to scheduled or unscheduled maintenance, upgrades, or infrastructure issues.

• We may modify, update, or discontinue features, functionality, or components of the Service at any time, with or without notice.

• The AI models available through the Service may be added, removed, replaced, or updated at any time. Model changes may affect the quality, style, or content of responses.

• Response quality, accuracy, and speed may vary based on model availability, query complexity, system load, and other factors.

• We may impose or modify rate limits, usage quotas, or other technical restrictions as necessary for the operation and stability of the Service.

We will use commercially reasonable efforts to provide advance notice of material changes to the Service, but we are not obligated to do so.

2.2 Beta and Experimental Features

From time to time, we may offer features, tools, models, or capabilities designated as “beta,” “experimental,” “preview,” or similar labels (collectively, “Beta Features”). Beta Features are provided for evaluation purposes only. They may be incomplete, contain bugs, produce unreliable results, or be discontinued at any time without notice. Beta Features are provided “AS IS” without any warranty, and all disclaimers and limitations of liability in these Terms apply with full force to Beta Features. You should not rely on Beta Features for production, commercial, or mission-critical uses.

3. AI-Generated Content Disclaimer

ALL CONTENT GENERATED BY SIBYL IS AI-GENERATED AND MAY CONTAIN ERRORS, INACCURACIES, OR FABRICATED INFORMATION (“HALLUCINATIONS”), EVEN AFTER MULTI-MODEL VERIFICATION.

3.1 Not Professional Advice

SIBYL’s responses do not constitute professional advice in any domain, including but not limited to:

Medical: SIBYL is not a healthcare provider. Do not use SIBYL responses as a substitute for professional medical advice, diagnosis, or treatment. Always consult a qualified healthcare provider for medical questions.

Legal: SIBYL is not a law firm or attorney. Do not use SIBYL responses as a substitute for qualified legal counsel. Legal information provided is general in nature and may not apply to your jurisdiction or circumstances.

Financial: SIBYL is not a financial advisor, broker, or fiduciary. Do not use SIBYL responses to make investment, tax, or financial planning decisions without consulting a qualified professional.

Emergency situations: If you are experiencing a medical, legal, or safety emergency, contact appropriate emergency services immediately. Do not rely on SIBYL.

3.2 Verification Limitations

While SIBYL’s multi-model verification pipeline is designed to improve accuracy and reduce hallucinations, it does not guarantee correctness. The verification process relies on AI models that may share common training biases, cannot independently access or verify real-time information in all cases, may fail to detect subtle or novel errors, and produces confidence scores and citations that are estimates, not guarantees of accuracy.

3.3 No Warranty of Accuracy

We make no representations or warranties regarding the accuracy, completeness, reliability, or timeliness of any content generated by the Service. You use SIBYL’s outputs at your own risk and are responsible for independently verifying any information before relying on it.

4. Prohibited High-Risk Uses

In addition to the acceptable use restrictions in Section 6, you agree that you will NOT use the Service for any of the following high-risk applications without our prior written consent under a separate enterprise agreement:

4.1 Medical diagnosis or treatment systems. Using SIBYL outputs as a component of any system that diagnoses medical conditions, recommends treatments, or makes clinical decisions.

4.2 Autonomous trading or financial automation. Using SIBYL outputs to trigger, execute, or directly inform automated trading strategies, algorithmic investment decisions, or financial transactions without human review and approval.

4.3 Safety-critical infrastructure. Using SIBYL outputs in any system where failure or inaccuracy could result in death, personal injury, or significant property damage, including but not limited to transportation systems, industrial control systems, weapons systems, nuclear facilities, or emergency response systems.

4.4 Legal compliance or regulatory decisioning. Using SIBYL outputs as the sole or primary basis for legal compliance determinations, regulatory filings, or enforcement actions.

4.5 Autonomous agents or automated pipelines. Integrating SIBYL outputs into autonomous agent systems that take actions without meaningful human oversight, including but not limited to automated content publication, automated customer communications, or automated decision-making systems that affect individuals’ rights or access to services.

4.6 Biometric identification or surveillance. Using the Service for biometric identification, facial recognition, real-time surveillance, or mass monitoring of individuals.

4.7 Employment or eligibility determinations. Using SIBYL outputs as the sole or primary basis for hiring, firing, promotion, credit, insurance, housing, education, or other eligibility decisions affecting individuals.

Violation of this Section 4 constitutes a material breach of these Terms and may result in immediate termination of your account and access to the Service. You agree to indemnify us for any claims, damages, or regulatory actions arising from your use of the Service in violation of this section.

5. Eligibility and Accounts

5.1 Age Requirement

You must be at least 18 years of age to use the Service. By creating an account, you represent and warrant that you are at least 18 years old. We do not knowingly provide the Service to anyone under 18.

5.2 Account Responsibility

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately at support@sibylsays.com of any unauthorized use of your account or any other security breach.

5.3 Account Accuracy

You agree to provide accurate, current, and complete information during registration and to update such information as necessary.

6. Acceptable Use

You agree not to use the Service to:

(a) Generate content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable.

(b) Attempt to extract, reverse-engineer, or reconstruct the underlying AI models, prompts, system architecture, or proprietary algorithms.

(c) Submit queries designed to manipulate, bypass, or test the security of the Service (including prompt injection, jailbreaking, or adversarial attacks).

(d) Impersonate any person or entity, or falsely represent your affiliation with any person or entity.

(e) Use the Service to generate spam, phishing content, malware, or deceptive content.

(f) Use the Service in any way that violates applicable local, state, national, or international law.

(g) Systematically scrape, harvest, or collect data from the Service via automated means without our prior written permission.

(h) Circumvent rate limits, usage quotas, or other technical restrictions.

(i) Use the Service to generate content for the purpose of misleading others about its AI-generated nature where disclosure is required by applicable law.

(j) Share account credentials or allow unauthorized access to your account.

(k) Use the Service for any of the prohibited high-risk uses described in Section 4.

(l) Use the Service to generate content that infringes, misappropriates, or violates any third party’s intellectual property rights, rights of publicity, or other proprietary rights.

We reserve the right to suspend or terminate accounts that violate these Terms, with or without notice depending on severity, in accordance with Section 12.

7. Intellectual Property

7.1 Your Content

You retain ownership of the queries you submit to the Service (“Input Content”). By submitting Input Content, you grant us a limited, non-exclusive, worldwide, royalty-free license to process your queries through our pipeline for the sole purpose of providing the Service to you. This license terminates when you delete the applicable content or your account, subject to our backup retention periods described in the Privacy Policy.

7.2 Generated Content

Responses generated by the Service (“Output Content”) are produced by third-party AI models and synthesized by our pipeline. To the extent permitted by applicable law, you may use Output Content for your personal or business purposes, subject to: applicable AI-generated content disclosure requirements in your jurisdiction; the understanding that identical or substantially similar Output Content may be generated for other users submitting similar queries; and the limitations described in Section 3 (AI-Generated Content Disclaimer). We make no representations regarding whether Output Content is protectable under intellectual property law.

7.3 Our Intellectual Property

The Service, including its architecture, pipeline design, verification algorithms, user interface, branding, trademarks, and documentation, is the intellectual property of Sibyl Technologies Inc. Nothing in these Terms grants you any rights to our intellectual property beyond the limited right to use the Service as described herein.

7.4 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us an unrestricted, perpetual, irrevocable, worldwide, royalty-free license to use such feedback for any purpose, including product development, without compensation or attribution to you.

8. DMCA and Copyright Policy

We respect intellectual property rights and respond to notices of alleged copyright infringement in accordance with the Digital Millennium Copyright Act (“DMCA”), 17 U.S.C. § 512.

If you believe that content available through the Service (including publicly shared content) infringes your copyright, you may submit a DMCA takedown notice to our designated agent at support@sibylsays.com with the subject line “DMCA Takedown Notice.” Your notice must include:

• Identification of the copyrighted work claimed to have been infringed.

• Identification of the material that is claimed to be infringing and its location on the Service.

• Your contact information (name, address, telephone number, email).

• A statement that you have a good faith belief that use of the material is not authorized by the copyright owner, its agent, or the law.

• A statement, under penalty of perjury, that the information in the notice is accurate and that you are the copyright owner or authorized to act on the owner’s behalf.

• Your physical or electronic signature.

8.2 Counter-Notification

If you believe content was removed in error, you may submit a counter-notification containing the information required under 17 U.S.C. § 512(g)(3) to the same address.

8.3 Repeat Infringers

We reserve the right to terminate the accounts of users who are determined to be repeat infringers.

9. Third-Party Services

9.1 AI Model Providers

The Service routes queries through third-party AI model providers via API aggregation services (currently OpenRouter). Your queries and the resulting responses are processed by these third-party providers subject to their own terms and privacy policies. We select providers based on capability and reliability but do not control their models or outputs. A current list of providers is maintained in our Privacy Policy.

9.2 Infrastructure

The Service is hosted on third-party cloud infrastructure (currently Google Cloud Platform). Your data is stored and processed subject to our infrastructure provider’s security practices and certifications.

The Service may contain links to third-party websites or resources. We are not responsible for the availability, content, or practices of those third-party resources and do not endorse them. Your use of any third-party resource is at your own risk.

10. Subscription and Payment

10.1 Subscription Plans

The Service is offered under subscription plans as described on our pricing page at sibylsays.com. Plan details, features, and pricing are subject to change with 30 days’ notice. Changes to pricing will not apply to your current billing period.

10.2 Billing

Subscription fees are billed in advance on a recurring basis (monthly or annually, depending on your plan). You authorize us to charge your designated payment method for all applicable fees. If your payment method fails, we may suspend your access to paid features until payment is received.

10.3 Cancellation

You may cancel your subscription at any time through your account settings or by contacting support@sibylsays.com. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods unless required by applicable law.

10.4 Usage Limits

Each subscription plan includes usage limits (queries per period, rate limits, model access). Exceeding these limits may result in throttling, temporary suspension of premium features, or a prompt to upgrade your plan.

10.5 Refunds and Chargebacks

Except as required by applicable law, all subscription fees are non-refundable. If you believe a charge is incorrect, contact us at support@sibylsays.com within 30 days of the charge. We will investigate and resolve billing disputes in good faith. Filing a fraudulent chargeback or payment dispute without first attempting to resolve the issue with us may result in suspension or termination of your account and collection of any amounts owed.

10.6 Taxes

All fees are exclusive of applicable taxes. You are responsible for paying all taxes, levies, or duties imposed by taxing authorities on your subscription, excluding taxes based on our net income.

11. Limitation of Liability

11.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

11.2 Limitation of Damages

IN NO EVENT SHALL SIBYL TECHNOLOGIES INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM:

• Your use of or inability to use the Service

• Any content generated by the Service, including inaccurate, incomplete, misleading, or fabricated information

• Unauthorized access to or alteration of your data

• Conduct of any third party on or through the Service

• Any decisions or actions taken based on content generated by the Service

• Modification, suspension, or discontinuation of the Service or any feature thereof

• Any third-party AI model provider’s actions, outages, or policy changes

11.3 Cap on Liability

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

The limitations in this Section 11 apply to the fullest extent permitted by applicable law, regardless of the legal theory on which the claim is based, including warranty, contract, statute, or tort (including negligence).

12. Termination and Suspension

12.1 Termination by You

You may terminate your account at any time by using the account deletion feature in your settings or by contacting support@sibylsays.com. Upon termination by you, your subscription (if any) will continue through the end of the current billing period, after which your account and data will be processed in accordance with our Privacy Policy.

12.2 Termination or Suspension by Us

We may suspend or terminate your account or access to the Service, in whole or in part, at any time if:

• You violate these Terms, including the acceptable use restrictions in Section 6 or the prohibited high-risk uses in Section 4.

• Your use of the Service poses a security risk, legal liability, or reputational risk to us, our users, or our third-party providers.

• You fail to pay applicable subscription fees after notice and a reasonable cure period.

• We are required to do so by law, regulation, or legal process.

• We discontinue the Service or any material portion thereof.

Where practicable, we will provide notice before suspension or termination and an opportunity to cure, except where immediate action is necessary to prevent harm, comply with law, or protect the security of the Service.

12.3 Content Removal

We reserve the right to remove, disable, or restrict access to any content on the Service (including publicly shared content and Output Content) that we reasonably determine violates these Terms, applicable law, or the rights of any third party, or that poses a risk to us or our users.

12.4 Effect of Termination

Upon termination:

• Your right to access the Service ceases immediately (or at the end of your billing period, if applicable).

• We may delete your account data after the retention periods described in our Privacy Policy.

• Any outstanding payment obligations survive termination and remain due.

• Sections that by their nature should survive termination shall survive, including Sections 3, 4, 7, 8, 10.5, 11, 13, 14, and 15.

13. Indemnification

You agree to indemnify, defend, and hold harmless Sibyl Technologies Inc. and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising from or related to:

• Your use of the Service

• Your violation of these Terms, including Section 4 (Prohibited High-Risk Uses) and Section 6 (Acceptable Use)

• Your violation of any applicable law or third-party rights

• Any content you submit to the Service

• Any decisions or actions taken based on Output Content

• Your use of the Service in violation of export control or sanctions laws (Section 16)

14. Governing Law and Dispute Resolution

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Nevada, without regard to its conflict of laws principles.

14.2 Informal Resolution

Before filing any formal dispute, you agree to first contact us at support@sibylsays.com and attempt to resolve the dispute informally for at least 30 days.

14.3 Binding Arbitration

If informal resolution is unsuccessful, any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules (or Commercial Arbitration Rules for enterprise customers). The arbitration shall be conducted in Miami, Florida, or at another mutually agreed location. The arbitrator’s decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

14.4 Class Action Waiver

YOU AGREE THAT ANY DISPUTES SHALL BE RESOLVED ON AN INDIVIDUAL BASIS AND NOT AS PART OF ANY CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON’S CLAIMS AND MAY NOT PRESIDE OVER ANY FORM OF CLASS OR REPRESENTATIVE PROCEEDING.

14.5 Small Claims Exception

Notwithstanding the above, either party may bring an individual action in small claims court in Miami-Dade County, Florida, if the claim falls within the court’s jurisdictional limits.

14.6 Injunctive Relief

Nothing in this Section 14 shall prevent either party from seeking injunctive or other equitable relief from a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights, confidentiality obligations, or other proprietary rights.

15. General Provisions

15.1 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Sibyl Technologies Inc. regarding the Service and supersede all prior or contemporaneous agreements, representations, or understandings.

15.2 Severability

If any provision of these Terms is found unenforceable or invalid by a court of competent jurisdiction, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall continue in full force and effect.

15.3 No Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by us.

15.4 Assignment

We may assign or transfer these Terms, in whole or in part, without restriction. You may not assign your rights or obligations under these Terms without our prior written consent. Any attempted assignment in violation of this section is void.

15.5 Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms where such failure or delay results from causes beyond our reasonable control, including but not limited to: acts of God, natural disasters, pandemic, epidemic, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, power outages, internet or telecommunications failures, cyberattacks, third-party provider outages (including AI model providers and cloud infrastructure providers), strikes, or shortages of labor, materials, or transportation. During any force majeure event, our obligations under these Terms are suspended for the duration of the event.

15.6 Notices

All notices to you will be provided via the email address associated with your account. Notices to us should be sent to support@sibylsays.com or to Sibyl Technologies Inc., 3301 NE 1st Ave, Suite M704, Miami, FL 33137.

16. Export Control and Sanctions Compliance

The Service is operated from the United States. By using the Service, you represent and warrant that:

• You are not located in, organized under the laws of, or a resident of any country or territory that is the subject of comprehensive U.S. sanctions (currently including Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, and Luhansk regions of Ukraine), or any other country or territory subject to comprehensive sanctions as updated by the U.S. Department of the Treasury’s Office of Foreign Assets Control (OFAC).

• You are not identified on any U.S. government restricted party list, including the OFAC Specially Designated Nationals and Blocked Persons List (SDN List), the U.S. Department of Commerce Entity List, or any other applicable restricted party list.

• You will not use the Service in violation of any applicable U.S. export control laws or regulations, including the Export Administration Regulations (EAR).

• You will not use the Service for any prohibited end use, including the development, design, manufacture, or production of nuclear, chemical, or biological weapons, or missile technology.

• You will not, directly or indirectly, provide access to the Service to any sanctioned person, entity, or country.

Violation of this section constitutes a material breach of these Terms and may result in immediate termination of your account. We reserve the right to restrict access to the Service from any jurisdiction at our sole discretion.
